1. Cooperation Scope & Applicability
These terms govern all manufacturing and wholesale partnerships between PureVital and our business clients across global markets.

2. Order Rules & Requirements
Minimum Order Quantity
- Herbal Pills: 10,000 units
- Functional Coffee: 5,000 units
- Herbal Honey: 2,000 units
- Soft Gel Gummies: 15,000 units
Payment Terms
- 50% deposit upon order confirmation
- 50% balance before shipment
- T/T, L/C, or approved methods
- Net 30 terms for qualified partners
Lead Times
- Standard products: 15-25 days
- Custom formulations: 30-45 days
- New product development: 60-90 days
- Rush orders: Additional 20% fee
3. Customization & Development Terms
Sample & Development Fees
- Initial samples: $200-500 per formula
- Packaging prototypes: $300-800
- Rush sampling: Additional 50% fee
- Refundable upon order confirmation (MOQ met)
Note: Sample fees are credited toward first production order when minimum quantities are met within 12 months.
Mold & Tooling Ownership
- Custom molds: Client ownership after full payment
- Shared tooling: Proportional ownership rights
- Standard molds: PureVital retains ownership
- Mold storage: Free for 24 months post-order
IP Protection
All custom formulations and proprietary designs remain confidential and are protected under mutual NDA agreements.
4. Quality Assurance & After-sales Support
Inspection & Verification
- Pre-shipment quality inspection included
- Third-party testing available upon request
- COA (Certificate of Analysis) provided
- Client inspection welcome at facility
- 7-day inspection period upon delivery
Quality Guarantee
- 24-month shelf life guarantee
- GMP compliance certification
- Defect rate below 0.1% standard
- Free replacement for manufacturing defects
- Technical support throughout product lifecycle
Return & Refund Policy
Acceptable Returns
- Manufacturing defects or contamination
- Specification deviations beyond tolerance
- Packaging damage during transit
- Incorrect product shipped
Non-returnable Items
- Custom formulations (unless defective)
- Products stored improperly by client
- Orders damaged by third-party logistics
- Products past inspection deadline
5. Liability & Dispute Resolution
Breach of Contract
- Late payment: 1.5% monthly penalty
- Order cancellation: 30% deposit forfeiture
- Specification changes: Additional costs apply
- Force majeure events: Mutual accommodation
Limitation of Liability
- Maximum liability: Order value amount
- No liability for indirect/consequential damages
- Client responsible for regulatory compliance
- Insurance coverage recommended for all parties

Governing Law
These terms are governed by international commercial law and the jurisdiction of the manufacturer's registered location. All disputes shall be resolved through arbitration under ICC rules.
